Terms of Service

1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Customer,” or “you”) and Yevhen Zakhodiakin, doing business as Botconsole (“Botconsole,” “we,” “us,” or “our”).

These Terms govern your access to and use of:

• the website located at https://botconsole.net;
• the Botconsole online platform;
• Telegram bot creation, configuration, hosting, and management tools;
• AI agent and third-party integration functionality;
• APIs, dashboards, automation tools, and related services; and
• any other products or services made available by Botconsole.

Collectively, these products and services are referred to as the “Service” or the “Platform.”

Please read these Terms carefully before using the Service. By creating an account, purchasing a subscription, connecting a bot or third-party account, clicking a button indicating acceptance, or otherwise accessing or using the Service, you confirm that:

• you have read and understood these Terms;
• you agree to be bound by these Terms;
• you are legally capable of entering into a binding agreement; and
• if you use the Service on behalf of an organization, you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Service Provider

You must be at least 18 years old to create a Botconsole account or use the Service.

By using the Service, you represent and warrant that:

• you are at least 18 years old;
• you have the legal capacity to enter into these Terms;
• you are not prohibited from using the Service under applicable law;
• the information you provide is accurate and complete; and
• your use of the Service will comply with these Terms and all applicable laws.

If you use the Service on behalf of a business, company, partnership, nonprofit, public authority, or another organization, references to “you” include both you and that organization.

4. Description of the Platform

Botconsole provides tools that allow Users to create, configure, connect, automate, manage, and maintain Telegram bots and related AI-powered workflows.

Depending on the selected plan and available functionality, the Service may include:

• Telegram bot connection and management;
• chatbot workflow and logic configuration;
• message processing and conversation history;
• file and media processing;
• AI model integrations;
• third-party account integrations;
• automation and API functionality;
• analytics and usage statistics;
• team and account management tools; and
• other functionality described on the Botconsole website.

Available features, limits, storage periods, integrations, and usage allowances depend on the selected subscription plan.

Botconsole may add, modify, replace, limit, suspend, or discontinue individual features when reasonably necessary to improve the Service, maintain security, comply with legal requirements, respond to changes made by third-party providers, or prevent misuse.

5. Registration and User Accounts

To access certain features, you must register and create an account.

You agree to:

• provide accurate, current, and complete registration information;
• keep your account information up to date;
• maintain the confidentiality of your password and authentication credentials;
• restrict access to your account and devices;
• use strong and unique passwords;
• promptly notify us of suspected unauthorized access; and
• accept responsibility for activities performed through your account.

You may not share an account with unauthorized persons, impersonate another person, create an account using false information, or transfer your account without our prior written consent.

You are responsible for all actions performed through your account unless the actions resulted directly from a security failure caused solely by Botconsole.

Botconsole may require email verification, additional authentication, or other reasonable security measures before allowing access to an account or processing a sensitive request.

6. Telegram Bots and Connected Services

To use Telegram-related functionality, you may be required to provide a Telegram bot token or authorize access to a Telegram bot or account.

You represent and warrant that:

• you own or are authorized to control each bot connected to your account;
• you have the right to provide all API keys, tokens, and credentials submitted to Botconsole;
• your bots comply with Telegram’s terms, policies, and technical requirements;
• your bots do not violate applicable law or third-party rights; and
• you have provided all legally required notices to your bot users.

Files sent through a connected Telegram bot are generally stored on Telegram’s servers. Botconsole may access these files through the Telegram Bot API when required to perform a workflow configured by you.

Botconsole downloads or stores a copy of a Telegram file on Botconsole infrastructure only when requested by you or by a workflow configured through your account.

Telegram is an independent third-party service. Botconsole does not control Telegram’s availability, storage practices, APIs, limits, policies, security, or decisions to restrict or terminate a bot.

7. Customer Responsibility for Bots and End Users

You are solely responsible for the design, configuration, operation, purpose, content, and activities of bots and workflows created or connected through your account.

Your responsibilities include:

• determining the lawful purpose of each bot;
• providing an appropriate privacy notice to end users;
• obtaining all required consents and permissions;
• responding to end-user privacy requests;
• ensuring the accuracy and legality of messages sent by your bots;
• moderating content where appropriate;
• complying with advertising, marketing, anti-spam, and consumer-protection laws;
• complying with industry-specific requirements applicable to your business;
• maintaining appropriate records and backups; and
• reviewing automated or AI-generated responses before relying on them.

Botconsole does not initiate conversations with your bot users, determine why you collect their information, or independently control how you use information collected through your bots.

Where Botconsole processes Personal Information on your behalf, you generally act as the data controller or business, and Botconsole acts as a data processor or service provider.

8. API Keys, Tokens, and Credentials

You may connect third-party services using API keys, access tokens, bot tokens, OAuth authorizations, or other credentials controlled by you.

Botconsole may store and use these credentials only as necessary to authenticate requests, maintain integrations, and perform actions configured through your account.

You are responsible for:

• ensuring that you are authorized to use the credentials;
• protecting credentials from unauthorized access;
• setting appropriate permissions and usage limits;
• monitoring charges imposed by third-party providers;
• rotating credentials when appropriate;
• revoking credentials when an integration is no longer needed; and
• immediately replacing credentials that may have been compromised.

Botconsole is not responsible for third-party fees, losses, account restrictions, or unauthorized third-party usage caused by credentials that you failed to protect, revoke, rotate, or configure appropriately.

9. Artificial Intelligence Services

The Service may allow you to connect third-party artificial intelligence providers using your own API keys. Supported providers may include:

• OpenAI;
• Anthropic;
• Google Gemini;
• xAI, including Grok;
• OpenRouter; and
• other providers made available through the Platform.

When you enable an AI integration, Botconsole may transmit information to the provider selected by you. Depending on your workflow, transmitted information may include:

• messages from bot users;
• conversation history;
• system prompts and instructions;
• documents and text files;
• images;
• audio and voice recordings;
• video or other media;
• workflow variables;
• generated responses; and
• other information included in the request.

AI requests made using your API key are subject to your separate agreement with the relevant AI provider. The provider may impose its own fees, usage limits, data-retention rules, geographic restrictions, content policies, and model training settings.

Botconsole does not control how a third-party AI provider processes information after it receives the request.

You are responsible for:

• reviewing the AI provider’s terms and privacy practices;
• selecting providers appropriate for the information being processed;
• obtaining legally required consent from bot users;
• avoiding transmission of unnecessary sensitive information;
• configuring provider logging, retention, and training settings;
• monitoring your provider account and usage charges; and
• reviewing AI-generated results before using or publishing them.

9.1 AI Output Disclaimer

Artificial intelligence output may be inaccurate, incomplete, outdated, misleading, offensive, or unsuitable for a particular purpose.

Botconsole does not guarantee the accuracy, legality, originality, reliability, availability, or fitness of AI-generated output.

You must not rely on AI-generated content as the sole basis for medical, legal, financial, employment, housing, credit, insurance, safety-related, or other high-impact decisions.

You are responsible for implementing appropriate human review and informing end users when they are communicating with an automated system where required by applicable law.

10. Plans and Service Limits

Botconsole may offer free and paid plans with different features, limits, retention periods, numbers of bots, message allowances, storage allowances, integrations, and support levels.

Current plans and prices are displayed on https://botconsole.net or during checkout.

Plan limits may include restrictions on:

• the number of connected bots;
• the number of messages or workflow executions;
• the number of users or team members;
• storage volume;
• conversation-history retention;
• file-processing limits;
• API usage;
• available integrations; and
• other technical or functional resources.

You may not attempt to bypass or circumvent plan limits, technical restrictions, billing limits, or access controls.

If you exceed the limits of your plan, we may limit functionality, pause processing, request that you upgrade, or charge additional usage fees when such fees were clearly disclosed and accepted by you.

11. Fees and Payments

You agree to pay all fees associated with the subscription plan or paid functionality selected by you.

Prices, billing intervals, included features, and applicable usage limits are displayed before purchase.

Prices shown at checkout will include mandatory charges imposed by Botconsole, excluding government-imposed taxes that may be calculated separately where permitted by law.

Payments may be processed through:

• Stripe;
• PayPal;
• Paddle; or
• another payment provider displayed during checkout.

Payment providers process payment information under their own terms and privacy policies. Botconsole does not directly store full payment card numbers or card security codes.

You authorize Botconsole and the applicable payment provider to charge the payment method selected by you for all fees, taxes, and authorized recurring subscription charges.

You are responsible for keeping your payment information current and for resolving failed or disputed payments.

If payment cannot be completed, we may retry the payment, restrict paid functionality, downgrade the account, suspend the subscription, or terminate access after providing any notice required by law.

12. Subscriptions and Automatic Renewal

Unless otherwise stated at checkout, paid subscriptions automatically renew at the end of each billing period until canceled.

Before you purchase an automatically renewing subscription, Botconsole will display:

• the subscription price;
• the billing frequency;
• the length of the subscription term;
• the fact that the subscription will renew automatically unless canceled;
• the applicable cancellation procedure;
• any minimum commitment, if applicable; and
• the price that will apply after a free trial or promotional period, if applicable.

By confirming the purchase, you expressly authorize recurring charges according to the terms displayed during checkout.

The amount charged may change if you change plans, add paid functionality, exceed an agreed usage allowance, or if Botconsole changes the subscription price.

Where required by applicable law, Botconsole will provide advance notice of:

• an upcoming annual renewal;
• the expiration of a qualifying free trial or promotional period;
• a material change to the subscription terms; or
• a change to the recurring subscription price.

13. Subscription Cancellation

You may cancel an automatically renewing subscription at any time through the billing or subscription div of your Botconsole account.

Where payment is managed directly by PayPal, Paddle, or another payment provider, you may also be required or permitted to cancel through that provider’s account or subscription-management interface.

If the online cancellation function is unavailable, you may request cancellation by emailing privacy@botconsole.net from the email address associated with your account.

A cancellation request should include:

• the email address associated with the account;
• the subscription or account identifier, if available; and
• a clear statement that you want to cancel the subscription.

Cancellation stops future automatic renewal charges. Unless otherwise required by law, cancellation takes effect at the end of the current paid billing period, and you may continue using paid features until that date.

Deleting a Telegram bot, disconnecting an integration, or ceasing to use the Service does not automatically cancel a paid subscription.

You are responsible for completing the applicable cancellation process before the next billing date.

14. Free Trials and Promotional Offers

Botconsole may offer free trials, discounted periods, promotional credits, or other special offers.

The duration, eligibility requirements, conversion price, included functionality, and cancellation deadline will be displayed when the offer is presented.

If a trial automatically converts to a paid subscription, this fact and the applicable price will be disclosed before you accept the trial.

Unless otherwise stated, promotional offers:

• are limited to one per User or organization;
• may not be transferred, resold, or exchanged for cash;
• may be withdrawn in cases of fraud or abuse; and
• may be subject to additional terms displayed with the offer.

15. Refunds

Except where required by applicable law or expressly stated during checkout, subscription fees and other payments are non-refundable.

Botconsole does not ordinarily provide refunds or credits for:

• partial billing periods;
• unused subscription time;
• failure to cancel before a renewal date;
• unused plan allowances;
• third-party service interruptions;
• AI provider errors or unavailable models;
• Telegram restrictions or outages;
• account suspension resulting from a violation of these Terms; or
• charges imposed directly by third-party providers.

If you believe that you were charged incorrectly, contact us promptly and provide the account email address, transaction details, date, and a description of the issue.

Any refund approved by Botconsole will normally be returned through the original payment method or processed by the applicable payment provider.

Nothing in this div limits any mandatory refund, cancellation, or consumer right that cannot lawfully be waived.

16. Taxes

Prices may exclude sales tax, value-added tax, goods and services tax, or other government-imposed taxes unless otherwise stated.

You are responsible for applicable taxes, except taxes based on Botconsole’s net income.

A payment provider or merchant of record may calculate, collect, withhold, and remit applicable taxes as required by law.

17. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms.

You must not use the Service to:

• violate any applicable law, regulation, court order, or third-party right;
• send spam, unsolicited advertising, or unlawful marketing communications;
• engage in fraud, deception, impersonation, phishing, or identity theft;
• distribute malware, ransomware, spyware, viruses, or malicious code;
• gain unauthorized access to accounts, systems, networks, or data;
• collect Personal Information without an appropriate legal basis or required notice;
• collect passwords, financial credentials, authentication codes, or highly sensitive data through deceptive means;
• harass, threaten, stalk, exploit, or harm another person;
• create or distribute illegal, defamatory, or infringing content;
• facilitate human trafficking, exploitation, terrorism, or organized criminal activity;
• sell illegal products or services;
• generate or distribute child sexual abuse material or sexual content involving minors;
• circumvent security controls, usage limits, billing systems, or account restrictions;
• perform excessive automated requests that interfere with the Service;
• reverse engineer or attempt to extract non-public source code, except where such restriction is prohibited by law;
• resell or sublicense the Service without written authorization;
• misrepresent an automated bot as a human where disclosure is legally required;
• use AI output to make prohibited or unlawful discriminatory decisions; or
• assist another person in carrying out any prohibited activity.

Botconsole may investigate suspected violations and may restrict, suspend, or terminate access when reasonably necessary to protect the Service, other Users, third parties, or the public.

18. Regulated and High-Risk Uses

The Service is a general-purpose software platform and is not specifically designed or certified for regulated or safety-critical use.

Unless Botconsole expressly agrees otherwise in writing, you must not rely on the Service as the sole system for:

• medical diagnosis or emergency medical response;
• legal advice or legal representation;
• financial, investment, tax, or credit decisions;
• employment, housing, insurance, or educational eligibility decisions;
• life-support, emergency, transportation, or critical infrastructure systems;
• processing information subject to specialized regulatory requirements without appropriate safeguards; or
• any activity where an error could reasonably result in death, serious injury, or substantial property damage.

You are solely responsible for determining whether your intended use complies with applicable industry-specific laws and contractual requirements.

19. User Content

“User Content” means messages, prompts, files, documents, images, audio, video, bot configurations, workflow logic, database records, instructions, and other information submitted, transmitted, generated, or stored through your account.

As between you and Botconsole, you retain ownership of your User Content.

You grant Botconsole a limited, worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, display, modify solely for technical formatting, and otherwise use User Content only as reasonably necessary to:

• provide the Service;
• perform your configured workflows;
• transmit data to services selected by you;
• provide support;
• maintain security and prevent abuse;
• comply with legal obligations; and
• enforce these Terms.

This license ends when the relevant User Content is deleted from Botconsole’s active systems, except where temporary retention is required for backups, security, legal compliance, dispute resolution, or enforcement.

You represent and warrant that:

• you own User Content or have sufficient rights to use it;
• you have the right to authorize the processing described in these Terms;
• User Content does not violate applicable law or third-party rights; and
• User Content does not contain information collected through unlawful or deceptive means.

20. Data Processing and Privacy

Our collection and use of Personal Information is described in the Botconsole Privacy Policy available on the Platform.

The Privacy Policy is incorporated into these Terms by reference.

When Botconsole processes Personal Information contained in User Content on your behalf:

• you determine the purpose and lawful basis of the processing;
• you are responsible for providing required notices and obtaining required consents;
• Botconsole processes the information to provide the Service and follow your instructions;
• you are responsible for responding to requests from your end users; and
• Botconsole may provide reasonable assistance as required by applicable law and agreement.

Customers requiring a separate Data Processing Agreement may contact privacy@botconsole.net.

21. Security and Backups

Botconsole uses reasonable administrative, organizational, and technical safeguards designed to protect information processed through the Service.

However, no online service, transmission method, storage system, or third-party platform can be guaranteed to be completely secure or continuously available.

You are responsible for:

• maintaining independent copies of important User Content;
• protecting your account and credentials;
• limiting access granted to employees, contractors, and team members;
• reviewing connected services and permissions;
• exporting data that you are legally or contractually required to retain; and
• implementing any additional security controls required for your business.

Botconsole is not intended to serve as your sole backup, archival, or recordkeeping system.

22. Botconsole Intellectual Property

The Service, including its software, source code, object code, design, interfaces, databases, documentation, branding, logos, graphics, templates, workflows, and other content provided by Botconsole, is owned by Botconsole or its licensors and is protected by intellectual property laws.

Subject to these Terms and payment of applicable fees, Botconsole grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal personal or business purposes.

You may not:

• copy, reproduce, sell, sublicense, distribute, or commercially exploit the Service except as expressly permitted;
• remove copyright, trademark, or proprietary notices;
• use Botconsole branding in a manner that implies sponsorship or endorsement;
• create a competing service using non-public Botconsole materials; or
• use the Service beyond the scope permitted by your subscription plan.

No rights are granted except those expressly stated in these Terms.

23. Feedback

If you submit ideas, suggestions, feature requests, or other feedback, you grant Botconsole a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, publish, and incorporate that feedback into the Service without compensation or attribution.

This div does not transfer ownership of your User Content.

24. Copyright Complaints

Botconsole respects intellectual property rights and may remove or restrict access to content that reasonably appears to infringe copyrights or other intellectual property rights.

A copyright complaint should include:

• identification of the copyrighted work;
• identification and location of the allegedly infringing material;
• your name and contact information;
• a statement that you have a good-faith belief that the use is unauthorized;
• a statement that the information in the notice is accurate;
• a statement made under penalty of perjury that you are authorized to act for the copyright owner; and
• your physical or electronic signature.

Copyright notices may be sent to: privacy@botconsole.net.

Botconsole may suspend or terminate accounts of repeat infringers where appropriate.

25. Third-Party Services

The Service depends on third-party platforms, APIs, payment providers, hosting providers, AI providers, and other external services.

Third-party services may include:

• Telegram;
• Google;
• OpenAI;
• Anthropic;
• Google Gemini;
• xAI;
• OpenRouter and providers routed through OpenRouter;
• Stripe;
• PayPal;
• Paddle;
• Hetzner;
• Cloudflare; and
• other integrations selected by you.

Botconsole does not control and is not responsible for the acts, omissions, terms, policies, availability, accuracy, security, pricing, or performance of third-party services.

A third-party provider may change or discontinue its API, model, pricing, authentication process, usage limits, or functionality at any time. Such a change may affect features of the Service.

Your use of third-party services is subject to your separate agreement with each provider.

26. Availability, Maintenance, and Service Changes

Botconsole aims to maintain reliable access to the Service but does not guarantee uninterrupted, error-free, or continuously available operation.

The Service may be unavailable because of:

• scheduled or emergency maintenance;
• software updates;
• security incidents;
• third-party outages;
• internet or network failures;
• government action;
• force majeure events; or
• other circumstances outside Botconsole’s reasonable control.

Unless a separate written Service Level Agreement applies, no specific uptime, response-time, recovery-time, or support-time commitment is provided.

Botconsole may modify the Service when reasonably necessary, provided that material changes to a paid subscription will be communicated as required by applicable law.

27. Suspension and Termination by Botconsole

Botconsole may restrict, suspend, or terminate access to all or part of the Service if:

• you violate these Terms;
• payment is overdue or disputed;
• your use creates a security, legal, or operational risk;
• your bot or content appears to violate law or third-party rights;
• you attempt to bypass usage limits or security controls;
• your activity adversely affects other Users or the Service;
• a third-party provider requires restriction or termination;
• we are required to do so by law or legal process; or
• the Service or relevant feature is discontinued.

Where reasonably possible and legally permitted, Botconsole may provide notice and an opportunity to correct the violation before terminating the account.

Immediate suspension or termination may occur when necessary to address fraud, abuse, illegal activity, security threats, nonpayment, or a material risk of harm.

28. Account Termination by the User

You may stop using the Service at any time.

You may request account deletion by emailing privacy@botconsole.net.

Account deletion and subscription cancellation are separate actions. You must cancel any active paid subscription using the cancellation procedure described in these Terms.

Before requesting account deletion, you should export any User Content that you wish to retain.

Information associated with a deleted account will be handled according to the Botconsole Privacy Policy, applicable retention periods, legal requirements, and backup-rotation procedures.

29. Effect of Termination

When these Terms or your account are terminated:

• your right to access the Service ends;
• connected bots and workflows may stop operating;
• Botconsole may revoke active sessions and credentials;
• outstanding fees remain payable;
• User Content may be deleted according to the Privacy Policy and retention schedule; and
• provisions that by their nature should survive termination will remain in effect.

30. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

BOTCONSOLE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND SECURITY.

BOTCONSOLE DOES NOT WARRANT THAT:

• the Service will be uninterrupted or error-free;
• all defects will be corrected;
• the Service will meet every User’s requirements;
• third-party services will remain available;
• messages will always be delivered;
• AI output will be accurate or lawful;
• stored information will never be lost; or
• the Service will be compatible with every third-party platform or configuration.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.

31. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOTCONSOLE AND ITS OWNER, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, CONTENT, CUSTOMERS, SUBSCRIPTIONS, OR USE OF THE SERVICE, EVEN IF BOTCONSOLE WAS ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

BOTCONSOLE WILL NOT BE LIABLE FOR LOSSES ARISING FROM:

• Telegram or other third-party service outages;
• AI-generated output;
• third-party API changes;
• unauthorized access caused by User credentials;
• User configuration errors;
• failure to maintain backups;
• suspension or termination caused by a violation of these Terms;
• content sent or received through User bots;
• actions taken by bot end users; or
• charges imposed by third-party providers using User-supplied credentials.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTCONSOLE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID DIRECTLY TO BOTCONSOLE DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
2. ONE HUNDRED UNITED STATES DOLLARS (US $100).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

32. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Botconsole, its owner, contractors, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and reasonable legal fees arising from or relating to:

• your use of the Service;
• your bots, workflows, messages, products, or services;
• User Content;
• your violation of these Terms;
• your violation of applicable law;
• your violation of third-party rights;
• your collection or use of end-user information;
• your use of AI-generated output;
• your failure to obtain required notices or consents; or
• your use of third-party accounts, credentials, or API keys.

Botconsole may assume control of the defense of a claim subject to indemnification. You agree to provide reasonable cooperation and may not settle a claim in a manner that imposes liability or obligations on Botconsole without prior written consent.

33. Force Majeure

Botconsole will not be responsible for delay, interruption, or failure caused by circumstances beyond its reasonable control, including:

• natural disasters;
• fire, flood, earthquake, or severe weather;
• war, terrorism, civil unrest, or government action;
• labor disputes;
• internet, telecommunications, or power failures;
• cyberattacks or denial-of-service attacks;
• third-party platform or infrastructure failures;

34. Governing Law and Disputes

These Terms and any dispute arising out of or relating to the Service are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.

Before filing a formal claim, you agree to contact Botconsole and attempt to resolve the dispute informally.

A notice of dispute must include:

• your name and account email address;
• a description of the dispute;
• the relevant dates and transactions;
• supporting documents, if applicable; and
• the resolution you are requesting.

If the dispute is not resolved informally, the parties consent to the jurisdiction of state and federal courts of competent jurisdiction located in California, except where applicable consumer law gives you the right to bring a claim in another jurisdiction.

Nothing in these Terms prevents either party from seeking temporary or injunctive relief where necessary to protect intellectual property, confidential information, data security, or account integrity.

35. Changes to These Terms

Botconsole may update these Terms to reflect:

• changes to the Service;
• new features or integrations;
• changes in third-party services;
• security requirements;
• legal or regulatory requirements; or
• changes to business practices.

The updated Terms will be published on the Botconsole website with a revised “Last updated” date.

Where a change materially affects your rights, obligations, subscription, or fees, Botconsole will provide additional notice as required by applicable law.

Material changes will not apply retroactively unless required by law or expressly agreed by you.

Continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

36. Electronic Communications

You agree that Botconsole may send you electronic communications related to:

• account administration;
• authentication and security;
• billing and payment status;
• subscription renewals and cancellations;

• service interruptions and maintenance;

You are responsible for maintaining a valid email address and reviewing Service-related communications.

Transactional and legally required communications are not marketing messages and may continue even if you opt out of promotional communications.

37. General Provisions

37.1 Entire Agreement

These Terms, the Privacy Policy, any applicable Data Processing Agreement, checkout disclosures, and plan-specific terms constitute the entire agreement between you and Botconsole concerning the Service.

37.2 Order of Precedence

If documents conflict, the following order applies unless expressly stated otherwise:

1. a separately signed written agreement;
2. a Data Processing Agreement concerning data-protection matters;
3. plan-specific or checkout terms;
4. these Terms; and
5. the Privacy Policy.

37.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Botconsole.

Botconsole may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or transfer of the Service.

37.4 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

37.5 No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

These Terms may be translated into other languages. If a translated version conflicts with the English version, the English version controls to the extent permitted by applicable law.
